Cynthia Tan’s practice focuses on corporate finance, securities, and mergers and acquisitions. She has extensive experience in initial public offerings; issuances of convertible, high yield, and exchangeable securities; and PIPE transactions.

Cynthia has counseled issuers and deal managers on equity and debt offerings, public and private mergers and acquisitions, bond deals by banks and financial institutions, pre-IPO investments by venture capital and private equity funds, debt restructuring and tender offers involving repurchase of securities, financing by way of syndicated financing for specific acquisitions and issuance of listed convertible bonds for acquisition of assets, and secondary equity fund raisings, including rights issues and convertible securities. She has worked on underwriting agreements, securities offering-related deal and ancillary documents, legal opinions, proxy statements, ’34 Act filings, and registration statements.

Cynthia has also handled compliance and corporate governance matters under U.S. securities laws and regulations, including ’33 Act and ’34 Act, NYSE/NASDAQ listing rules, Sarbanes-Oxley Act, and FCPA. Prior to joining Jones Day, she represented issuers and underwriters in global equity offerings, follow-on and initial public offerings on the NYSE, NASDAQ, and Hong Kong Stock Exchange.
