Catherine Miao practices both PRC and Hong Kong law, and was admitted to the Mainland China and Hong Kong SAR in 1994 and 2005 respectively. Ms. Miao joined JunHe as a partner in 2011. Prior to that, Ms. Miao was one of the founding partners and the management partner of a leading law firm in Guangzhou, and also provided professional services at a law firm in Hong Kong. Over the years, Ms. Miao has accumulated extensive experience in the fields of foreign investment, M&A, outbound investment, banking and project finance, mezzanine finance, NPL disposal and management, and real estate. Ms. Miao is particularly conversant with complex and thorny noncontentious cases and has handled many cases which were completely novel and unprecedented nation-wide. Ms. Miao has also been invited to write the column “Miao” Yan Yao Dao (“缪”言要道) for LexisNexis, a column about legal practices related to foreign investment.

In the field of general corporate and M&A, Ms. Miao has provided legal services to foreign investors from different industries in a variety of types of transactions, their corporate matters and daily operations; for dozens of large-scale enterprises in their overall restructuring and capital injection arrangements; and for many multinational corporations, stated-owned enterprises and private-owned enterprises in their acquisitions of equity and assets of various nature. Ms. Miao has also acted as legal adviser for many outbound investment projects, and is well-experienced in the establishment of overseas free trade zones, overseas green-field investment as well as overseas acquisitions.

In the field of banking and project finance, she has rendered a full range of legal services for numerous major project finance transactions related to infrastructure, energy, transportation and power plant construction in Canton Province, and international syndicated loan projects. She also has acted as legal advisor for major state-owned asset management corporations and some large international investment banks and provided them with innovative legal solutions for projects including acquisition and disposal of NPL portfolios and establishment of Sino-Foreign contractual joint ventures, where the accumulated book value of assets involved nearly amounts to one trillion RMB.

In the field of real estate, Ms. Miao has extensive experience handling many cases of primary land development, land resumption and compensation for demolition and relocation, projects related to policy of “Renovation of Old Towns/Factories/Villages” and urban renewal, tendering and bidding for construction projects, M&A and financing projects related to real estate projects and so on.
