Ms. Catherine Miao

Chief Partner, C & I Partners (Guangdong) & Associate, Li and Partners

Ms. Miao is the Chief Partner of C & I Partners (Guangdong branch), and a solicitor of Li and Partners.  She specializes in the fields of foreign direct investment, M & A, securities, real estate and PRC outbound investment, etc.  She has also accumulated profuse experience in banking and finance, and NPL disposal.  She acts as legal adviser to a large number of financial institutions home and abroad, securities companies, futures companies, real estate companies and some multinational corporations with prestige worldwide.  Since she has studied overseas in the United Kingdom and Hong Kong, she is conversant with Chinese Mainland law, UK law and Hong Kong Law; and has been qualified to practice in both the PRC and Hong Kong jurisdictions.

In foreign investment, Ms. Miao has served many multinational corporations in their establishment and operation of foreign-invested companies in China, the dispute resolution issues, and their M & A in China.  Represented clients include FedEx, P&G, Cathay International Group, 3M, Cookson-Enthone, Johnson Control, TTI Group, Mitsui, Felda Iffico, Hopewell, Grace THW Group, and China Fortune, etc.

In financing, Ms. Miao has served many PRC banks and international banking syndicates for their loans to the construction projects of infrastructure, energy, transportation, and power stations in Guangzhou City or in Guangdong Province.  Typical projects represented include Guangzhou-Shenzhen Express Highway, Guangzhou-Kowloon Railway, Guangzhou Metro, Deqing Power Station, South China Highway & Bridge, Guangdong Shajiao C Power Plant.

In disposal of NPL Portfolios, Ms. Miao has been acting as long-term legal adviser to China Orient Asset Management Corporation Guangzhou Office, providing many creative services in its NPL portfolios whose book value has amounted totally to more than RMB 10 billion.  She has also acted as the legal adviser for Citigroup Global Markets Asia Limited, conducting due diligence and rendering legal services in respect of its purchase of NPL portfolios in Guangdong Province.

In securities, Ms. Miao has represented a client to acquire a securities company, and after the acquisition, acted as long-term for this securities company.  Meanwhile, she also has rendered legal services to many corporations for their listing of A-shares, H-shares and S-shares.

In PRC outbound investment, she has represented a big state-owned enterprise to establish a free trade zone in Nigeria; and has also assisted China Power Investment Corporation in setting up joint ventures in Vietnam.

Her satisfactory services have gained wide confidence and recognition from clients and have brought to her the Excellence in Lawyer’s Work Prize in Guangzhou for the year 2000 and Great Achievement Prize for Guangzhou lawyers for the year 2002, 2004, 2006 and 2009 respectively.  She was also nominated for "Guangzhou Top 10 Lawyers" by the Bar Association of Guangzhou.

Already with profound legal knowledge, Ms. Miao is still keen in legal study and research and is consistently upgrading her capability: she has published about ten academic essays and is acting as Editor in Chief of the subchapter of Trade in Services Law of International Trade Law Dictionary (selected as a preeminent book at national level).

Ms. Miao also assumed or assumes the following positions in Guangzhou Bar Association: Director of Council of Bar Association, Vice Director of International Commercial Law Committee, Commissioner of External Liaison and Propaganda Committee; in Guangdong Bar Association, she is Commissioner of External Liaison and Propaganda Commission; and in Guangzhou Overseas Chinese Chamber of Commerce, Vice Director of Legal Committee.

Ms. Miao obtained her PCLL from HKU in 2004, CPE/PgDL from the College of Law of England and Wales in 2002, LLM from Sun Yat-Sen University in 1995 and LLB from Shanghai Fudan University in 1992.  She was admitted in the People’s Republic of China as a lawyer in 1994 and in Hong Kong as a solicitor in 2005.



 
 
Ms. Margaret Li

Senior Partner, C & I Partners (Guangdong)

Ms. Li is a Senior Partner at C & I Partners Guangdong Branch.  Prior to that, she was the Managing Partner of Guangdong Tiannuo Law Firm.  She completed her Bachelor Degree in Law at China Youth University for Political Science in 1995 and her Master Degree in Law at Sun Yat-Sen University in 2003.  She passed the National Bar Examination in 2000 and has been licensed to practice in PRC law since 2003.  Since being licensed, Ms. Li has mainly practiced in the fields of corporate governance, labor relationship, real estate, construction engineering, sports industry, finance etc.  and has accumulated abundant experience in legal services in relation to contentious and non-contentious issues.  She is also acting as a legal counsel to a substantial number of large-scale companies, government agencies and institutions.

Ms. Li acts as a legal adviser and provides general counseling and project legal services to many giant domestically-owned companies, foreign invested enterprises, foreign companies and profit-making institutions, real estate, construction engineering companies, sport government agencies and institutions, she has helped the clients in preventing and resolving legal risks, particularly labor relation dispute, contract dispute and investment risks.  Ms. Li also renders legal services on a long-term basis to a variety of financial institutions in Guangzhou in respect of their non-contentious issues as well as the loan contract and loan mortgage contract litigations.

Furthermore, Ms. Li is retained by Sun Yat-Sen University on a long-term basis as a distinguished lecturer on legal courses of Labor Contract Law to the on-the-job training students.  She also consistently and actively participate the legal events of governmental and legislative departments. As the delegate of the Seventh and the Ninth Congress of Lawyers of Guangdong Province, Ms. Li had fully performed her duties by providing ideas and proposals.
