Mr. Eddy C. FONG

Mr. Fong was appointed the Non-Executive Chairman of the Securities and Futures Commission (SFC) in October 2006 by the HKSAR Chief Executive.  Mr. Fong has been a Non-Executive Director of SFC since January 2005.

Mr. Fong is a certified public accountant and was formerly a senior partner of PricewaterhouseCoopers.  He was educated in Hong Kong and in the United Kingdom.  He was awarded an Honorary Doctor of Civil Law by the University of Kent in the United Kingdom in July 1997.

Apart from pursuing an active professional career, Mr. Fong is active in public and community services.  Currently he is a Non-Executive Director of the Hong Kong Mortgage Corporation and the Treasurer and Council Member of the Open University of Hong Kong.  He was appointed as a Justice of the Peace in 1996 and was awarded Gold Bauhinia Star in 2008 by the Government of the HKSAR.  His past public services include:-

  • Non-Executive Director of the Exchange Fund Investments Limited

Dr. William Fung

Dr Fung, SBS, OBE, JP, aged 59, has been Group Managing Director since 1986.  Joined the Group in 1972 and became a Director of the Group's export trading business in 1976.

Graduated from Princeton University with a Bachelor of Science degree in Engineering. Holds an MBA degree from the Harvard Graduate School of Business.  Holds a Degree of Doctor of Business Administration, honoris causa, by the Hong Kong University of Science & Technology.

Dr Fung is a non-executive director of HSBC Holdings PLC and the Chairman of its Corporate Sustainability Committee.  An independent non-executive director of VTech Holdings Limited and Shui On Land Limited.  A former member of the Hong Kong Trade Development Council.  Past Chairman of the Hong Kong General Chamber of Commerce, the Hong Kong Exporters' Association and the Pacific Economic Cooperation Committee.

Dr Fung is also the co-author of the book "Competing in a Flat World".  In 2008, Dr Fung has been awarded the SBS ("Silver Bauhinia Star") by the Government of the Hong Kong Special Administrative Region for his significant contribution to the development of Hong Kong as a leading international trading hub and for his outstanding public service in the areas of trade promotion and economic development.

Mr. Roger Best

Roger Best is a Senior Partner with Deloitte Touche Tohmatsu in Hong Kong.

Mr. Best is a fellow of both the Hong Kong Institute of Certified Public Accountants ("HKICPA") and the Institute of Chartered Accountants in England and Wales ("ICAEW").  From 2000 to 2003 he was Chairman of the Institute's Financial Accounting Standards Committee.  In 2004 Mr. Best was the President of the HKICPA.  Since 2003 he has been Chairman of a Joint Government/HKICPA Working Group to review the Accounting and Auditing Provisions of the Companies Ordinance.

From 1996 to 2005 he was appointed by the Financial Secretary to the Standing Committee on Company Law Reform and was appointed as a Justice of the Peace ("JP") in 1999.   He is a panel member of the Securities and Futures Appeals Tribunal, and has been a member of the Main Board Listing Committee and GEM Listing Committee of The Stock Exchange of Hong Kong Limited since 2002.

 
Ms. Melissa Brown

Ms. Brown is the Executive Director of the Association of Sustainable and Responsible Investment in Asia (ASrIA), a not-for-profit membership association supporting sustainable investment in Asia.  ASrIA's membership includes a cross-section of global and Asia-based fund managers, financial institutions, companies, and non-profit organizations.  ASrIA runs the Carbon Disclosure Project in Asia and produces research and commentary on key issues shaping sustainable investment opportunities in Asia.  Prior to joining ASrIA in 2003, Melissa was a Managing Director and Deputy Head of Asian Equity Research at Citigroup/Smith Barney.  She has 19 years of experience in equity research in Asia.  She is currently a member of the Stock Exchange of Hong Kong Listing Committee and the Securities and Futures Commission's Public Shareholders' Group. Melissa received a BA in Economics from Williams College and an MBA from the Yale School of Management.

 
Mrs. April Chan

Mrs. Chan is the Company Secretary of CLP Holdings Limited (中 電 控 股 有 限 公 司). Before joining CLP, she has worked in professional firms and academic institutions in Hong Kong and Australia.  Mrs Chan has extensive working experience in company secretarial practice and is instrumental in developing and implementing the framework of corporate governance in CLP.

Mrs Chan is a Fellow of The Institute of Chartered Secretaries & Administrators in England and a Fellow of The Hong Kong Institute of Chartered Secretaries.  She completed the Senior Executives Course at Tsinghua University, Beijing in 1997, the Leadership in the Public Sector Programme run by the HKSAR Government in 2000, and the Program for Management Development at the Harvard Business School, USA in 2001. Mrs Chan is currently the Vice President of The Hong Kong Institute of Chartered Secretaries and the Chairman of the Institute's Company Secretaries Panel.

Mrs Chan is also a holder of the Practitioner's Endorsement issued by The Hong Kong Institute of Chartered Secretaries.  She is an active presenter on the development of corporate governance in Hong Kong.

 
Mr. Ken Chan

Mr. Chan holds a Bachelor of Engineering degree from the University of New South Wales and an MBA degree from the Melbourne Business School.  From 1993-1999, he held sales and marketing positions with Jardines Engineering (HK), Clipsal (HK), and Honeywell in Sydney.  He joined the Boston Consulting Group in 2000 as a Consultant focused on formulating business strategies and devising execution plans.  His most recent assignment before joining RAB Capital (Asia) Limited was a Business Development Manager of PCCW.  His involvement mostly concerned direct investments in Greater China, and building financial models to forecast investment performance.

 
Mr. Jack Chow

Mr. Chow is currently the Partner in Charge of one of our three audit groups in Hong Kong and is also the Head of the IPO Advisory Group in China.  He has been with KPMG for over 20 years and his portfolio of clients covers a diverse range of industries.

He has extensive experience in assisting a number of Chinese enterprises in raising funds in Hong Kong and overseas stock exchanges.  He has an in-depth knowledge on the different accounting standards, the business regulations in China and Hong Kong SAR and the listing requirements in China, Hong Kong SAR, Singapore, the UK and the US.  He has also advised a number of clients on group restructuring arrangements and has led a number of due diligence exercises in connection with mergers and acquisitions.

He is a Council Member of the Hong Kong Institute of Certified Public Accountants and an Advisor of Financial Reporting Advisory Panel of The Stock Exchange of Hong Kong Limited.

 
Ms. Linda Csellak

Ms. Csellak graduated from the College of William and Mary, Virginia in 1983 with a BA, Phi Beta Kappa.  She received her CFA charter in 1992 and has been active in the past on a number of committees of the CFA Institute.  She is a member of the Council of the Asian Corporate Governance Association.

Linda has worked in US and Asia Pacific investment since 1984.  From 1984 until 1994, Linda worked as an investment banker and portfolio manager in the US, focusing on fixed income and credit.  Since moving to Hong Kong in 1995, she has worked as a portfolio manager, primarily focused on Asian equities, at Special Assets, Credit Agricole Asset Management and Doric Capital.  Funds she has managed over the past twelve years include Special Assets Pacific Fund, CA Asian Renaissance Fund, Indocam Guaranteed Fund, and Doric Kasagi Fund.

Linda joined Ballingal Investment Advisors in October 2007 with lead responsibility for the firm's industry and company research.  She is Co-Manager of the BIA Pacific Fund.

 
Mr. Hugh Gozzard

Mr. Gozzard is a Principal in the Enterprise Risk Services practice of Deloitte Hong Kong.

Mr. Gozzard has over twenty years of professional experience.  He leads Deloitte's services in Hong Kong for internal audit, internal controls reviews under Hong Kong's pre and post-listing corporate governance rules, Sarbanes-Oxley readiness and advisory, and risk management.  He provides these services to multi-national, Hong Kong and Mainland Chinese organizations throughout Asia-Pacific.

He is an associate member of the Institute of Chartered Accountants in England & Wales and a member of the US Institute of Internal Auditors.

 
Mr. Charles Grieve

Mr. Grieve is the senior director in Corporate Finance Division of the Securities and Futures Commission.  He is responsible for Corporate Governance issues in addition to accounting and auditing matters.

Duties:

  • responsible for liaising with the Stock Exchange of Hong Kong regarding changes to the Listing Rules that apply to companies listed on the Exchange; and
  • represents the SFC at IOSCO, the international organizations of securities regulators, on the auditing and accounting committee and the corporate governance task force; and
  • represents Hong Kong at the OECD Asian Corporate Governance Roundtables.

 
Mr. Edmond Ho

Mr. Ho has been a director of Transport International Holdings Limited ("TIH"), The Kowloon Motor Bus Company (1933) Limited ("KMB") and Long Win Bus Company Limited ("LWB") since 1 January 2001.  He joined KMB in September 1998 and served as Finance and Administration Director from January 1999 to April 2003.  Mr. Ho was promoted to Deputy Managing Director of TIH, KMB and LWB with effect from 10 January 2002.  He has been appointed as Managing Director of KMB and LWB since 1 January 2007 and Managing Director of TIH with effect from 8 April 2008. Posts previously held by him included Investment Director of a merchant bank and executive director of a number of toll road management and investment companies in Hong Kong and on the Mainland.  He was also a director of four Sino-foreign joint venture companies of an international leading soft drink brand.  Mr. Ho holds a master's degree in engineering from Cambridge University and an MBA degree from The University of Hong Kong.

 
Mr. David Holloway

Mr. Holloway is the Chief Operations Officer of International Risk Ltd, and a Senior Managing Director of parent company, FTI Consulting, Inc. and based in Hong Kong where he oversees and co-ordinates the staffing and quality control for all investigative, business intelligence and risk mitigation consulting assignments undertaken by International Risk, and he personally manages a broad range of investigative and consulting assignments on behalf of International Risk and FTI clients.

He has 34 years experience in the investigations and risk mitigation industry in Asia, including 22 years with the Royal Hong Kong Police, from which he took early retirement in 1996 whilst in the rank of Detective Senior Superintendent.  He has been a Certified Fraud Examiner since 1995.

David has significant experience in the investigation of all types of business fraud and corruption, conflict of interest situations and other corporate integrity-related issues; in multi-jurisdiction asset searches and in money laundering and FCPA investigations;  in the conduct of sophisticated business intelligence and off-balance sheet pre-transactional due diligence assignments;  in discreet investigations into the integrity of individuals;  in consulting on brand protection and product counterfeiting issues, especially in emerging markets, and in crisis contingency planning and response.  He has successfully completed assignments throughout Asia, and in other parts of the world, for clients in most industry sectors, including the financial services, pharmaceutical, food & beverages, electronics, construction and infrastructure, automotive, telecommunications, media and manufacturing sectors.

David spent the majority of his police career in the criminal investigation and criminal intelligence fields, including a period as head of the Hong Kong Interpol national sub-bureau.  He has wide experience in the command and coordination of multi-disciplined resources, the conduct of both strategic and tactical intelligence operations and in the investigation of serious and complex cases, including fraud and organized crime.  Immediately prior to moving to the private sector in 1996 David was deputy head of the Commercial Crime Bureau in Hong Kong.  In this capacity he had operational responsibility for a 380-man unit responsible for the collection, collation, analysis and dissemination of commercial crime intelligence;  for liaison with international law enforcement and regulatory agencies, banks, credit card organizations and the producers of banknotes and security papers; for the investigation of serious business fraud;  and for operations to counter syndicates engaged in credit card fraud, currency counterfeiting, forgery of identity documents, and fake documentary credits and prime bank instruments.

After leaving the police, David was regional director of operations, based in Hong Kong for a US-headquartered multinational corporate investigations firm.  He joined PricewaterhouseCoopers Investigations Asia Ltd (now International Risk Ltd) in December 2000.

David received local management, legal and Cantonese language training with the Hong Kong Police and he graduated from the Federal Bureau of Investigation National Academy program at Quantico, Virginia in 1991.  He received a number of commendations during his police career, culminating in January 1996 with the award of the Colonial Police Medal for Meritorious Service by H.M. Queen Elizabeth.

He is a member of both the Association of Certified Fraud Examiners and the American Institute of Industrial Security.

 
Ms. Teresa Ko

Ms. Ko joined the firm in 1988 and was made a partner in 1993.  She is the China Managing Partner and also a member of the Practice Committee of the firm.  Her practice involves corporate finance, securities work as well as private and public mergers and acquisitions and private equity work.

Teresa is particularly well-known for advising on complex global offerings including in particular listings of Chinese state-owned as well as privately-owned enterprises including ICBC, being the world's largest IPO to date.

Teresa also works extensively on cross-border M&A, strategic investments and public takeovers. She was recently involved in the proposed sale of Wing Lung Bank, the acquisition by Shimao Property of an interest in an A-share company in China and is advising China Unicom on its merger and disposal transactions.

Teresa qualified as a solicitor in England & Wales and in Hong Kong in 1986.  She also has a first class masters degree in law from Jesus College, Cambridge, England.

She speaks regularly on corporate governance, Chinese securities law matters and issues concerning the development of the Hong Kong securities market.

She is a deputy chairman of the Listing Committee of the Hong Kong Stock Exchange and is also a deputy chairman and member of the Hong Kong Panel on Takeovers and Mergers of the Securities and Futures Commission as well as a member of the Standing Committee on Company Law Reform.

She speaks fluent Mandarin, Cantonese and English.

 
Mr. Vincent Lam

Mr. Lam is Managing Director and Portfolio Manager of Ramius Asia Limited, a subsidiary of New York-based hedge fund management firm Ramius Capital Group LLC.  Prior to joining Ramius, Vincent has held senior management positions in the Research and Asset Management divisions of a local financial services group between 1999 and March 2008.  He was formerly a financial journalist for two HK-based media groups.  He holds a Master degree in Business Administration from Richard Ivey School of Business, University of Western Ontario, Canada, and a Bachelor’s degree in Social Sciences (Economics) from the Chinese University of Hong Kong.  He is a licensed Responsible Offier for regulated activities Type 9 (asset management) under the Hong Kong Securities and Futures Commission.

 
Mr. John Lee

Mr. Lee is the Managing Director and Chief Executive Officer of Lippo Limited, a conglomerate operating principally in the Asian Region.  He is also an executive director of Lippo China Resources Limited and Hongkong Chinese Limited. In addition, he is an independent non-executive director of New World Development Company Limited and New World China Land Limited.

Mr Lee is a Justice of Peace in Hong Kong, an Honorary Fellow of the City University of Hong Kong and a qualified accountant by profession.  He is a member of the Institute of Chartered Accountants in England and Wales, the Association of Chartered and Certified Accountants and the Hong Kong Institute of Certified Public Accountants.  He was a partner of PriceWaterhouse for 12 years before he joined the Lippo Group as the Managing Director.  He has extensive experience in corporate finance and capital markets.

Mr Lee is active in public service and serves on a number of Hong Kong Government Boards and Committees including as a member of the Hospital Authority, Chairman of the Finance Committee and Main Tender Board of the Hospital Authority and a Trustee of the Hospital Authority Provident Fund Scheme.  He is also the Chairman of the Queen Elizabeth Hospital Governing Committee.  In addition, Mr Lee serves as a member of Non-local Higher and Professional Education Appeal Board.

 
Mr. Lincoln Leong

Mr. Leong, aged 47, is Finance & Business Development Director of MTR Corporation Limited.  Prior to joining MTR, Mr Leong was a partner of a private equity firm established to invest in Asia Pacific and before that he worked for 11 years in investment and merchant banking.

Mr. Leong was born in Hong Kong and completed his education in Hong Kong and England.  He is a qualified chartered accountant in both England and Canada.

Mr. Leong is involved in a number of charitable organizations in Hong Kong including the Hong Kong Society for Protection of Children and the Hong Kong Housing Society.

 
Professor Chee Keong Low

Professor Low is an Associate Professor in Corporate Law at The Chinese University of Hong Kong with research interests in issues pertaining to corporate governance and the regulatory framework of capital markets.  An Advocate and Solicitor of the High Court of Malaya, Professor Low is a member of the Listing Committee of the Stock Exchange of Hong Kong as well as the Financial Reporting Review Panel.  His research is supported by grants from the CLP Group, Ernst & Young, Noble Group Limited and Tricor Services Limited.

 
Mr. Karl Lung

Mr. Karl Lung, CFA is currently the President of The Hong Kong Society of Financial Analysts and has sixteen years of experience in the investment industry.  He had worked as Portfolio Manager with ABN AMRO Asset Management (Asia) Limited for nine years and is responsible for Hong Kong equity investments.  Before joining ABN AMRO, Mr. Lung has been an investment analyst for seven years with brokerage houses that include W.I. Carr (Far East) Limited, Schroders Securities (Hong Kong) Limited, and Nomura Research International Company Limited, and also as an investment analyst with Sun Hung Kai Properties Limited.

Mr. Lung holds a Master of Business Administration degree from the University of Toronto and a Bachelor of Commerce (Hon.) degree from McMaster University in Hamilton, Ontario, and received the CFA Charter in 1992.  Mr Lung is a member of the Hong Kong Business Valuation Forum Council, a member of the Advisory Committee on Human Resources Development in the Financial Services Sector of the Financial Services and the Treasury Bureau, a member of the Merger and Takeover Panel, Takeovers Appeal Committee and Public Shareholders Group of the Securities and Futures Commission.

 
Mr. Martin Sabine

Mr. Sabine holds a BA degree from the University of Oxford and an MBA from the Wharton School, University of Pennsylvania.  He is the founder and Chairman of Somerley Limited.  Somerley has become one of the most active firms in the corporate finance field in Hong Kong, specialising in advisory services to Hong Kong listed companies.  Somerley has a Hong Kong staff of about 35 people and has completed several hundred merger and acquisition and equity capital markets transactions since it was founded in 1984.

In 2003, Somerley opened a representative office in Beijing, which now has 8 employees.  In 2007, a leading British bank acquired a 10% interest in Somerley.  The remaining shares are owned by Mr. Sabine and his colleagues in Somerley.  Somerley has also established a US$30 million corporate finance special situations fund which commenced operations in October 2007.

Mr. Sabine is the author of “CORPORATE FINANCE - Flotations, Equity Issues and Acquisitions, a well-known book on corporate finance, now in its 3rd edition and translated into Chinese, Italian and Spanish.  It is widely used as a reference book and regarded as a leading work on the subject.  Mr. Sabine also gives seminars on corporate finance and is a member of the Hong Kong Panel on Takeovers and Mergers.

 
Dr. Andrew Thomson

Dr Thomson has over 20 years of working experience including 15 years in Asia undertaking environmental and corporate social responsibility (CSR) programs for business and public clients. As Chief Executive Officer of the Business Environment Council (BEC), he is responsible for realising the mission of the organization;  to advocate the business case for sustainable development, and encourage the uptake of practices, which reduce waste, conserve resources, prevent pollution and improve corporate environmental and social responsibility.

Dr Thomson specializes in strategies for corporate sustainability from development of framework management systems (ISO 14001, ISO 18000, SA 8000 etc) to more in depth implementation plans for cleaner production, waste minimization, energy efficiency and corporate governance.

Dr Thomson serves in various public and private capacities, including Member of HKSAR Government's Harbour-front Enhancement Committee, Council for Sustainable Development's Strategy Sub-Committee, Environment Bureau's Waste Disposal Appeal Board Panel and Innovation and Technology Commission's Accreditation Advisory Board Working Party for Accreditation of Certification Bodies.  He also serves as Member of Hong Kong Quality Assurance Agency's OHSAS 18001 Technical Committee, Founding Member of BEAM Society, Executive Committee Member of Climate Change Business Forum and Harbour Business Forum, BEC Liaison to the World Business Council for Sustainable Development, Judging Panel Member of ACCA Sustainability Reporting Awards, Organizing Committee Member and Chair of Judging Panel of Hong Kong Awards for Industries' Environmental Performance, Awards Committee Member of Hong Kong Awards for Environmental Excellence, Member of Project Chambers and Hong Kong General Chamber of Commerce.

 
Mr. Tony Tsoi

Mr Tsoi, He is the Chief Executive Officer of Varitronix International Limited since March 2005.  Mr Tsoi is also a Non-executive Director of China Windpower Group Limited, which is listed on the Hong Kong Stock Exchange.  Mr Tsoi graduated from the Ivey Business School of the University of Western Ontario, Canada with an Honours degree in Business Administration.  He is the Deputy Chairman of the Listing Committees of the Main and GEM Boards of the Hong Kong Stock Exchange, and a member of Securities and Futures Commission (HKEC Listing) Committee.

 
Dr. Richard Welford

Richard Welford is one of the founders and the chairman of CSR Asia based in Hong Kong.  He is also a professor at the University of Hong Kong and a director of ERP Environment, a UK-based publisher.

Richard has considerable expertise in international business, environmental management and corporate social responsibility.  He has been working with businesses in these areas for 20 years. He has worked for the Samsung Corporation in Korea and carried out research for the UN in South East Asia.  He currently advises the Swire Group and Cathay Pacific and has worked as a consultant to the MTR Corporation in Hong Kong. Other clients have included the World Bank, the International Finance Corporation, Oxfam, the Business Environment Council, TXU Europe and The Body Shop.

He has written 15 books and over 100 articles relating to globalization, international business, environmental management, human rights and social responsibility.  He has carried out a number of surveys on corporate social responsibility and sustainable development across the world making him one of the few people to be able to evaluate exactly the state of play with regard to Asia.

 
Mr. Richard Williams

Mr. Williams is the Head of Listing of HKEx.  He joined HKEx in October 2002 and became HKEx's Head of Listing and secretary to the Listing Committees in June 2003. Mr Williams was the Head of Listing Policy and Compliance at the Financial Services Authority in the UK between 2000 and 2002.  He has also served as the head of Listing Policy at the London Stock Exchange ("LSE").  Before moving to the LSE, Mr Williams was with PricewaterhouseCoopers.

Mr Williams is a fellow member of the Institute of Chartered Accountants in England and Wales.

Wong & Co., Solicitors & Notaries, a solicitors' firm headquartered in Hong Kong with offices in Beijing and Shanghai and affiliates in over 50 other cities in the world through the International Lawyers Group.  He is a National Committee Member of the Chinese People's Political Consultative Conference and vice chairman of the All China Youth Federation. Mr. Yeh was the Chairman of Hsin Chong Construction Group from 2002 until 2007.  He is also a Founder and now Honorary Chairman of Value Partners Limited.  He is a member of the Securities & Futures Commission's Dual Filing Advisory Group and Takeovers & Mergers Panel, and was a member of China's CSRC Listing Committee from 1999 to 2003 and a member of the Listing Committee of The Stock Exchange of Hong Kong Limited from 1996 to 2006.  Mr. Yeh holds independent directorships in various listed companies in Hong Kong.  He is a lawyer by training but has extensive experience in corporate finance, and has worked at the Lazard group in London, Hong Kong and New York.  He has more than 20 years of experience in investment management as well.  He holds a JD from Columbia Law School, New York, and a BA from Williams College, Massachusetts.

Mr. Yip is currently the CEO of Sun Partners Investment Management Limited, an asset management company with a focus on Greater China. Sun Partners is a HK SFC licenced entity and manages the Sun China Fund, a hedge fund with a long/short equity strategy.  Prior to that, he was a Founding and Senior Partner of GEMS and was a member of the firm's Investment Committee.  GEMS is a private equity management company with US$700 million under management for investing in private equity situations in Asia.  Mr. Yip has more than twenty years of investment banking and equity investment experience in the Asia Pacific region.  He was previously a Vice President of J.P. Morgan International Capital Corporation and was involved with investing in Asian private equity situations of US$800 million in total value for Morgan's own account.  Prior to 1993, he was Vice President of Morgan's Capital Markets Group in Hong Kong.

He received his A.B. degree, magna cum laude, from Harvard University and was a John Harvard scholar.  He has served as a director of a number of private and publicly listed companies in Hong Kong, Singapore and elsewhere in Asia.  He is Chairman Emeritus of the Hong Kong Venture Capital and Private Equity Association.  He is also a member of the Institutional Review Board of the Hong Kong Hospital Authority, and has served on the Financial Services Advisory Committee of the Trade Development Council of the Hong Kong SAR and the Expert Steering Committee of the China Venture Capital Research Institute.
